Terms & Conditions

By downloading, installing, or using EdgeFolio ("the Software"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not install or use the Software.

These Terms apply to the Windows desktop application, the marketing website at edgefolio.iotsoft.in, and any related services provided by IOTSoft.

IOTSoft grants you a free, non-exclusive, non-transferable license to install and use EdgeFolio for your personal or business payroll and attendance management.

You may:

• Install the Software on one or more machines within your organisation
• Use it to manage employees, attendance, and payroll for your own business
• Export reports and data generated by the Software

You may not:

• Resell, sublicense, or redistribute the Software as your own product
• Reverse-engineer or modify the Software for commercial resale
• Use the Software to manage payroll for third-party clients on a paid basis without prior written permission from IOTSoft

EdgeFolio is provided free of charge and on an "as-is" basis, without warranty of any kind, express or implied. This includes but is not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Guarantees of uninterrupted, error-free, or bug-free operation
• Accuracy of statutory deduction calculations (PF, ESI, PT rates change — always verify with your CA)

Always verify statutory deductions with your Chartered Accountant or HR consultant before submitting government filings.

You are solely responsible for:

• The accuracy of employee data, salary structures, and attendance records you enter
• Maintaining regular backups of your local SQLite database
• Ensuring compliance with applicable labour laws, tax regulations, and statutory requirements in your jurisdiction
• Securing access to the application (login credentials, machine access)

IOTSoft is not liable for data loss due to hardware failure, accidental deletion, or software bugs. Always maintain external backups.

To the maximum extent permitted by applicable law, IOTSoft shall not be liable for any:

• Indirect, incidental, or consequential damages arising from use of the Software
• Loss of data, loss of profits, or business interruption
• Errors in payroll calculations leading to regulatory penalties
• Damages arising from unauthorised access to your local data

Our total liability in any case shall not exceed ₹ 0 (zero), as the Software is provided free of charge.

EdgeFolio does not silently download or install updates in the background. New versions are announced via a short in-app notice (delivered through the license heartbeat) and must be downloaded and installed manually from edgefolio.iotsoft.in.

We recommend keeping the Software up to date to receive the latest compliance rules, bug fixes, and security patches.

If you choose to enable cloud sync, you acknowledge that:

• A copy of your employee and attendance data will be transmitted to our servers over HTTPS
• This data is stored for backup purposes and governed by our Privacy Policy
• You retain ownership of your data at all times
• You can disable sync and request deletion of server-side data by contacting us

You agree not to use EdgeFolio to:

• Process payroll data for illegal or fraudulent purposes
• Circumvent or undermine statutory employee benefits or rights
• Attempt to reverse-engineer, decompile, or tamper with the Software's security mechanisms
• Use the Software in any way that violates applicable Indian or international law

These Terms are governed by the laws of India. Any disputes arising from these Terms or use of the Software shall be subject to the exclusive jurisdiction of courts in India.

This Software is designed for use within India and for compliance with Indian labour regulations. Use in other jurisdictions is at your own risk and discretion.

We reserve the right to modify these Terms at any time. When we do, we will update the "Last updated" date at the top. Continued use after changes constitutes acceptance.

For material changes, we will notify users via the application or the in-app announcement banner.
